Background South Africa is one step closer to a significant legal reform with the imminent introduction of a “failure to prevent corrupt activities offence.” This offence, emanating from Chief Justice Raymond Zondo’s State Capture Report, aims to align South African law with international standards, particularly the UK Bribery Act. As soon as the offence is in force, private and public sector companies would be criminally liable if they fail to prevent corruption by persons associated with them, which includes anyone performing services for or on behalf of the company, irrespective of their formal role. The new offence also offers a clear defence for companies that can demonstrate that they have implemented “adequate procedures” to prevent corruption.
